The agreements that govern how we work together.

These Terms apply to your use of therapsychinstitute.com and to any training, course, retreat, consulting engagement, precepting placement, membership, or store product you purchase from TheraPsych™ Institute, LLC.

These Terms & Conditions ("Terms") govern your access to and use of therapsychinstitute.com (the "Site") and any training, course, workshop, retreat, consulting engagement, precepting placement, membership, store product, or other service (collectively, "Services") provided by TheraPsych™ Institute, LLC ("TheraPsych," "we," "us," or "our"). By accessing the Site, enrolling in a Service, or paying any fee, you ("you," "Participant," or "User") agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Site or enroll in any Service.

1. About TheraPsych™ Institute

TheraPsych™ Institute, LLC is a North Carolina limited liability company providing professional education, mentorship, precepting, consulting, and retreat experiences to graduate students, early-career clinicians, and advanced clinicians in the fields of psychiatric nursing, social work, and counseling. The TheraPsych™ mark is the subject of a pending United States trademark application.

2. Scope of services

TheraPsych provides professional education and consultation. We do not provide:

  • Clinical supervision of record for licensure
  • Direct patient care
  • Legal, medical, tax, billing, regulatory, or accounting advice for your individual practice
  • Employment, credentialing decisions, or licensure of any kind

Membership, consulting, and mentorship are professional consultation — not clinical supervision. TheraPsych does not assume legal, regulatory, licensure, or fiduciary responsibility for participant clinical practice, business operations, or patient outcomes. You are solely responsible for your own clinical judgment, compliance, and decisions.

3. Eligibility

Services are intended for adults aged eighteen (18) or older who are either (a) actively enrolled in a graduate clinical program (PMHNP, MSW, counseling, or equivalent) or (b) hold an active professional license or credential in nursing, advanced practice nursing, social work, or counseling. By enrolling, you represent that the information you provide is accurate and that you meet the eligibility criteria for the Service you purchased.

4. Intellectual property

4.1 Ownership

All content on the Site and within any Service — including but not limited to course curricula, slide decks, recordings, workbooks, handouts, templates, scripts, frameworks, assessments, audits, written materials, audio, video, photographs, diagrams, the TheraPsych™ mark, and all derivative works — is the exclusive intellectual property of TheraPsych™ Institute, LLC and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

This includes, but is not limited to:

  • PMHNP Foundations I (Clinical Workflow)
  • Foundations II: Credentialing to Collections
  • Advanced Clinical Modules (Phase III)
  • Mastery & Mentorship (Phase IV)
  • The Both/And courses and Both/And retreats
  • All PMHNP retreats, including but not limited to Bedside to Boardroom
  • All consulting, precepting, and membership content
  • The Credentialing to Collections course and any associated templates, scripts, and audits
  • All assessments, intake tools, documentation templates, and clinical workflow tools developed by TheraPsych

The H.O.P.E. framework referenced in certain retreats is used under license from The Baggage Exchange LLC and remains the property of its owner.

4.2 Limited license to participants

Upon payment in full, TheraPsych grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service materials solely for your own personal professional education and internal use within your own clinical practice. This license does not transfer ownership of any material to you.

4.3 Prohibited uses

You may not, in whole or in part:

  1. Reproduce, copy, screenshot, photograph, record, or transcribe Service materials for any purpose other than your own personal notes;
  2. Distribute, share, post, upload, email, message, or otherwise transmit Service materials to any third party — including colleagues, classmates, employers, or social media;
  3. Publicly display, perform, teach, present, lecture from, or otherwise deliver Service materials to any third party or audience;
  4. Sell, resell, license, sublicense, rent, lease, repackage, rebrand, or otherwise commercialize Service materials;
  5. Create derivative works based on Service materials, including remixes, adaptations, summaries, study guides, or "inspired-by" curricula;
  6. Use Service materials, in any form, to train, fine-tune, ground, embed, retrieve from, or otherwise inform any artificial-intelligence, machine-learning, large-language-model, or generative-AI system;
  7. Remove, obscure, or alter any copyright, trademark, attribution, or proprietary notice;
  8. Use the TheraPsych™ name, mark, logo, or any confusingly similar mark for any purpose without prior written authorization.

4.4 Licensing requests

If you wish to use TheraPsych materials in a manner outside the limited license in Section 4.2 — including teaching from them, citing more than a brief quotation, incorporating them into employer training, or licensing them for organizational use — you must obtain prior written consent and a formal licensing agreement from TheraPsych. 4.5 Enforcement

Unauthorized use will be pursued to the full extent of applicable law, including injunctive relief, statutory damages under 17 U.S.C. § 504, recovery of attorneys' fees and costs under 17 U.S.C. § 505, and any other remedies available at law or in equity. TheraPsych reserves the right to revoke access to any Service immediately upon discovery of a violation, without refund.

5. Restrictive covenants (non-compete, non-solicitation, non-circumvention)

These restrictive covenants apply to all participants enrolled in any TheraPsych training, course, retreat, mentorship, precepting placement, consulting engagement, or membership. They are narrowly tailored to protect TheraPsych's proprietary curricula and business relationships, and they are not intended to restrict your ability to practice your licensed profession (clinical care, prescribing, psychotherapy, casework, or counseling) anywhere in any geography.

5.1 Non-competition — limited to TheraPsych-derived training products

For a period of twenty-four (24) months following completion of, or withdrawal from, any TheraPsych Service, you agree not to design, develop, market, sell, host, or deliver any training, course, workshop, cohort, retreat, or mentorship program that:

(a) uses, copies, paraphrases, or is materially derived from TheraPsych curricula, frameworks, templates, or proprietary methods; or
(b) is marketed using the TheraPsych™ name, your status as a TheraPsych alumnus, or any TheraPsych-branded credential, in a manner that creates a likelihood of confusion with TheraPsych Services.

For clarity, this Section 5.1 does not restrict you from: practicing your licensed profession; precepting or supervising students at your employer; teaching independent curricula you developed before or outside your engagement with TheraPsych; or speaking generally about your professional growth.

5.2 Non-solicitation of cohort, faculty, and staff

For a period of twelve (12) months following completion of any cohort, retreat, or membership, you agree not to solicit, recruit, hire, or attempt to divert TheraPsych faculty, contracted preceptors, employees, or fellow cohort members for the purpose of (a) staffing a competing training product, or (b) building a competing cohort outside the TheraPsych network. This does not restrict ordinary professional networking, peer support, clinical collaboration, employment offers unrelated to training delivery, or referrals to or from your clinical practice.

5.3 Non-circumvention of preceptor relationships

If TheraPsych introduces you to a preceptor, site, faculty member, or consulting client through a TheraPsych Service, you agree not to circumvent that relationship for a period of twenty-four (24) months — meaning you will not directly engage that individual or site for paid precepting, supervision, or consulting outside the TheraPsych program without TheraPsych's prior written consent. This does not restrict purely clinical relationships (patient care, referrals, professional collaboration).

5.4 Confidentiality of cohort

Cohort and retreat discussions are professionally sensitive. You agree to hold in confidence the identity, disclosures, clinical case discussions, business-financial details, and personal stories shared by any other participant, faculty member, or guest in any TheraPsych cohort, mastermind, retreat, or membership setting. This obligation survives termination of the Service.

5.5 Reasonableness and severability

You acknowledge that the restrictions in this Section 5 are reasonable in geographic scope (none), duration, and substantive scope, and are necessary to protect TheraPsych's legitimate business interests in its proprietary curricula, faculty relationships, and cohort confidentiality. If any restriction is found to be unenforceable as written, the parties agree the restriction shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall remain in full force.

6. Cancellation, refund, and transfer policies

6.1 Self-paced digital courses and store products

Self-paced digital courses, downloadable templates, recordings, and other digital store products are non-refundable once access is granted or delivery has occurred, because the intellectual property cannot be returned. If you experience a technical access issue, contact us within seven (7) days of purchase and we will work to resolve it or, at our discretion, issue a refund.

6.2 Live virtual cohorts (Foundations I, Foundations II, and similar)

Live cohort tuition is governed by the following tiered schedule:

Once a cohort has begun, tuition is non-refundable. One transfer to a future cohort is permitted at no charge if requested at least seven (7) days before the original cohort start; subsequent transfers incur a $150 administrative fee.

6.3 Retreats (Bedside to Boardroom, Both/And, and all other in-person retreats)

Retreats carry non-recoverable costs (venue holds, lodging blocks, catering minimums, faculty travel) and follow this schedule:

Travel and lodging arrangements made directly by you (flights, personal lodging upgrades, ground transportation) are your responsibility and are not refundable by TheraPsych under any circumstances. Travel insurance is strongly recommended.

6.4 Memberships

Memberships renew monthly or annually as disclosed at purchase. You may cancel at any time through your account or by emailing hello@therapsychinstitute.com; cancellation takes effect at the end of the then-current billing cycle. Fees already paid are not refunded for partial periods.

6.5 Consulting and precepting engagements

Consulting engagements are governed by the specific Statement of Work or engagement letter you sign at the start of the engagement. Precepting placements are governed by the affiliation agreement between TheraPsych and your school of record. Where the engagement-specific document differs from this Section 6, the engagement-specific document controls.

6.6 Cancellation by TheraPsych

TheraPsych reserves the right to cancel, postpone, or reschedule any Service for reasons including insufficient enrollment, faculty illness or unavailability, force majeure (as defined in Section 15), public-health emergency, or venue failure. In such a case, you will receive, at your election, (a) a full refund of fees paid, or (b) a credit toward a future equivalent Service, but TheraPsych is not responsible for non-recoverable travel, lodging, or incidental costs you incurred. Travel insurance is again strongly recommended.

7. Participant conduct

By enrolling in any TheraPsych Service, you agree to the following standards of conduct.

7.1 Professional conduct

You will conduct yourself in a manner consistent with the ethics codes of your profession (ANA, AANP, ANCC, NASW, ACA, or applicable equivalents) at all times during any TheraPsych Service — including in live sessions, breakout rooms, cohort group chats, retreat settings, social events, and any TheraPsych-facilitated online community.

7.2 Confidentiality

You will hold in confidence all clinical case material, business and financial disclosures, and personal stories shared by other participants, faculty, or guests in any TheraPsych Service (see also Section 5.4). You will not record any session — by audio, video, screenshot, or transcription — except recordings TheraPsych itself provides to you for personal review.

7.3 Patient privacy (HIPAA)

If you choose to discuss a patient case in any TheraPsych setting, you are solely responsible for de-identifying all protected health information in accordance with HIPAA, your state's medical-privacy laws, and your employer's policies. TheraPsych is not a covered entity or business associate, and TheraPsych assumes no liability for participant disclosures of PHI. Do not share documents, screenshots, or images containing PHI in any TheraPsych session, chat, or community.

7.4 Anti-harassment, anti-discrimination

TheraPsych is committed to maintaining an environment free of harassment and discrimination. Conduct that constitutes harassment, intimidation, discrimination, bullying, hostility, or threats — based on race, color, national origin, ethnicity, religion, sex, sexual orientation, gender identity, age, disability, veteran status, marital status, or any other protected characteristic, or for any other reason — is strictly prohibited and is grounds for immediate removal without refund.

7.5 Substance use during in-person retreats

Retreats are licensed as continuing-education events and require participant fitness for clinical learning. Recreational substances and intoxication are not permitted during contact-hour sessions, clinical breakout sessions, or evening community events. Alcohol may be available at designated optional social events; you remain responsible for your own conduct.

7.6 Online community standards

In any TheraPsych Slack, Circle, Discord, group chat, or members-only forum, you agree not to: (a) post promotional content for your own competing training products; (b) recruit cohort members away from TheraPsych offerings; (c) share or screenshot another member's clinical or personal disclosures outside the forum; (d) post content that violates Section 7.4.

7.7 Consequences

Violation of this Section 7 may result in, at TheraPsych's sole discretion: a written warning; removal from a specific session, retreat, or community; suspension from the membership; permanent expulsion from the Service; forfeiture of fees paid; and, where appropriate, referral to your licensing board or law enforcement.

8. Acknowledgment of risk; release (retreats and in-person events)

In-person retreats may include travel; group meals; outdoor activities; movement-based activities (gentle yoga, walking, hiking, breathwork); cohort discussion of emotionally activating clinical and personal material; and exposure to wilderness, water, altitude, climate, or other environmental conditions. You acknowledge that participation in these activities carries inherent risk of injury, illness, emotional activation, exacerbation of pre-existing conditions, or loss of property.

You assume all such risks and release TheraPsych, its faculty, contractors, venue partners, and affiliates from liability for injury, illness, emotional distress, or loss arising from your voluntary participation, except for liability caused by TheraPsych's gross negligence or willful misconduct. You are responsible for your own health insurance, travel insurance, medical care, and informing TheraPsych of any medical condition that may affect your safe participation.

9. Continuing education (CE) credit

TheraPsych is approved by the noted accreditation bodies listed on each Service page to award contact hours for that Service. CE certificates are awarded based on documented attendance and completion of the required post-Service evaluation. You are responsible for verifying that TheraPsych's accreditation is accepted by your licensure board and for retaining your own CE records. TheraPsych does not guarantee acceptance of CE hours by any specific board.

10. Payment, billing, and chargebacks

Payment is due at the time of enrollment unless TheraPsych offers a written payment plan. Failure to pay any installment when due may, at TheraPsych's discretion, result in suspension of access to the Service and acceleration of the remaining balance. If you initiate a chargeback for a charge that is valid under these Terms and any applicable refund schedule, you agree to reimburse TheraPsych for any chargeback fees and reasonable attorneys' fees incurred in responding.

11. Privacy

Your use of the Site and any Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimer of warranties

The Site and all Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site or Services will be uninterrupted or error-free. No oral or written statement by TheraPsych or its faculty creates any warranty.

13. Limitation of liability

To the maximum extent permitted by law, TheraPsych Institute, LLC, its members, faculty, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost opportunity, business interruption, or emotional distress — arising out of or in connection with the Site, any Service, or these Terms, even if TheraPsych has been advised of the possibility of such damages.

TheraPsych's aggregate liability under these Terms, for all claims of any kind, shall not exceed the amount you actually paid TheraPsych for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Section 13 limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

14. Indemnification

You agree to defend, indemnify, and hold harmless TheraPsych, its members, faculty, contractors, and affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your violation of any law or third-party right (including HIPAA, intellectual property rights, or any patient's right to privacy), or (c) your clinical, business, or other professional conduct.

15. Force majeure

Neither party is liable for any delay or failure to perform caused by events beyond reasonable control, including natural disaster, pandemic, public-health emergency, war, terrorism, civil unrest, labor disruption, internet or utility failure, or governmental action. The affected party will use reasonable efforts to mitigate the impact and resume performance promptly.

16. Dispute resolution; governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.

Step 1 — Good-faith negotiation. Before initiating any formal proceeding, the parties agree to attempt to resolve the dispute through good-faith negotiation for thirty (30) days, beginning when one party gives the other written notice describing the dispute.

Step 2 — Mediation. If negotiation does not resolve the dispute, the parties agree to participate in non-binding mediation in Gaston County, North Carolina (or by video conference, by agreement) with a mutually selected mediator, with costs split equally.

Step 3 — Litigation venue. If mediation does not resolve the dispute within sixty (60) days of a written demand to mediate, either party may bring the dispute in the state or federal courts located in Gaston County, North Carolina, and the parties consent to the exclusive jurisdiction and venue of those courts.

Jury trial waiver. To the maximum extent permitted by law, each party waives any right to a trial by jury.

17. Modifications

TheraPsych may update these Terms from time to time by posting the revised Terms on the Site with a new "Last updated" date. For material changes, TheraPsych will use reasonable efforts to notify enrolled participants by email. Your continued use of the Site or any Service after the effective date of revised Terms constitutes acceptance of those Terms. The Terms in effect at the time you purchased a specific Service govern that Service unless you affirmatively accept the revised Terms.

18. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any Service-specific enrollment agreement, Statement of Work, or affiliation agreement, constitute the entire agreement between you and TheraPsych regarding the subject matter and supersede prior agreements on that subject.

Assignment. You may not assign these Terms without TheraPsych's prior written consent. TheraPsych may assign these Terms in connection with a sale, merger, or reorganization of its business.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No waiver. A failure to enforce any provision is not a waiver of the right to enforce it later.

Survival. Sections 4 (Intellectual property), 5 (Restrictive covenants), 7.2 – 7.3 (Confidentiality, HIPAA), 8 (Release), 13 (Limitation of liability), 14 (Indemnification), 16 (Dispute resolution), and any other provisions that by their nature should survive, will survive termination of these Terms or your access to any Service.

These Terms are a contract and reflect our good-faith effort to be transparent about how we work together. They are not, however, a substitute for advice from your own attorney about how the Terms apply to your specific situation.
